ARTE One — Terms of Service

These Terms of Service ("Terms") govern your access to and use of the ARTE One website and digital wealth platform (the "Platform") and any related services, features, content, and tools (collectively, the "Services").

The Platform is operated under the ARTE One brand by ARTE Partners LLC ("ARTE One", "we", "us", "our").

By accessing or using the Platform or Services, you agree to be bound by these Terms. If you do not agree, do not use the Platform or Services.

1. Definitions

"ARTE group entity" means any entity that is directly or indirectly controlled by, controlling, or under common control with ARTE Partners LLC.

"Third-party provider" means any independent third party that provides products or services accessible via the Platform.

"Content" means all text, data, software, code, interfaces, graphics, videos, documents, and other materials made available on or through the Platform.

2. Nature of the Platform and Services

ARTE One operates as a technology-enabled wealth platform that provides users with access to information, tools, and connectivity to a range of investment-related products and services.

ARTE One acts as:

  • a platform operator and technology provider; and
  • a point of access to products and services that may be provided by:
    • other entities within the ARTE group; and/or
    • independent third-party providers.

Unless expressly agreed in writing under a separate contract with the relevant entity:

  • ARTE Partners LLC does not provide personalised investment advice;
  • ARTE Partners LLC does not act as a portfolio manager, broker, dealer, or custodian;
  • ARTE Partners LLC does not execute transactions or hold client assets; and
  • ARTE Partners LLC does not manufacture, structure, issue, or underwrite financial products.

Any investment products, financial services, advisory services, execution services, custody, administration, or other regulated activities are provided (where applicable) by the relevant ARTE group entity or third-party provider under their own terms, conditions, disclosures, and regulatory status.

You acknowledge that ARTE Partners LLC is not responsible for the performance, suitability, execution, settlement, custody, administration, or ongoing management of products or services provided by ARTE group entities or third-party providers.

2.1 No Fiduciary Relationship or Agency

Nothing in these Terms or in the operation of the Platform creates a fiduciary relationship, agency, partnership, or joint venture between you and ARTE Partners LLC.

ARTE Partners LLC does not act as an agent on behalf of users or on behalf of any product provider, unless expressly agreed in writing under a separate agreement.

3. No Offer, No Solicitation

Nothing on the Platform constitutes an offer, solicitation, or recommendation to buy or sell any financial instrument, product, or service.

Access to certain information or Services may be restricted in certain jurisdictions. You are responsible for ensuring that your access to and use of the Platform and Services is lawful in your jurisdiction.

4. User Eligibility; Prohibited Use

You represent and warrant that:

  • you are at least 18 years old (or the age of legal majority in your jurisdiction);
  • you have the legal capacity to enter into these Terms;
  • you will use the Platform and Services only for lawful purposes and in compliance with applicable laws (including financial services, sanctions, and anti-money laundering laws);
  • you are not subject to sanctions, located in, or ordinarily resident in any jurisdiction where access to or use of the Services would be unlawful or would require ARTE Partners LLC to take regulatory action, obtain a licence, or register; and
  • you are not using the Platform on behalf of another person unless you have valid authority to do so and provide evidence upon request.

We may restrict or deny access to the Platform or Services where required for legal, regulatory, sanctions, compliance, or risk reasons.

5. Accounts; Security

Where account creation is required, you agree to:

  • provide accurate and complete information;
  • keep your information up to date; and
  • maintain the confidentiality of your login credentials.

You are responsible for all activities conducted under your account. You must promptly notify us of any unauthorised use of your account or any security breach.

We may impose security requirements (e.g., multi-factor authentication) and may suspend access if we suspect compromised credentials or suspicious activity.

6. Platform Availability

We endeavour to provide reliable access to the Platform, but we do not guarantee uninterrupted, timely, secure, or error-free operation.

We may suspend, restrict, modify, or discontinue any part of the Platform or Services at any time for maintenance, security, compliance, legal, or operational reasons.

7. Investment Risks; No Performance Guarantee

Investments involve risk, including the possible loss of capital.

Past performance is not indicative of future results.

No representation or warranty is made regarding performance, returns, or outcomes.

You remain solely responsible for your investment decisions, suitability assessments, and risk management.

8. Tools, Analytics, and AI

Any tools, analytics, models, simulations, signals, or AI-assisted outputs made available on the Platform are provided for informational purposes only and do not constitute investment advice, recommendations, or decisions.

You remain fully responsible for interpreting and using any information provided through the Platform.

9. Group Entities and Third-Party Services

The Platform may provide access to, information about, or connectivity to products and services offered by ARTE group entities and/or third-party providers.

Such products and services are governed by the terms, disclosures, and agreements of the relevant provider. You are solely responsible for reviewing, understanding, and accepting those terms.

ARTE Partners LLC does not control, endorse, guarantee, or assume responsibility for any products, services, content, performance, or acts or omissions of ARTE group entities or third-party providers, except to the extent expressly required by applicable law.

10. Fees and Taxes

Fees and charges (if any) applicable to specific Services or products will be disclosed separately by the relevant provider and may be subject to change in accordance with applicable agreements or disclosures.

You are responsible for all taxes or governmental charges applicable to your use of the Platform or any products/services accessed through it.

11. Intellectual Property; Licence

All Content, software, trademarks, logos, and materials on the Platform are the property of ARTE Partners LLC and/or its licensors and are protected by intellectual property laws.

Subject to these Terms, you are granted a limited, non-exclusive, non-transferable, revocable licence to access and use the Platform for lawful personal use or internal business use.

You must not (and must not attempt to):

  • copy, reproduce, modify, distribute, or create derivative works from the Platform or Content;
  • scrape, crawl, harvest, or use automated means to access the Platform or extract data;
  • reverse engineer, decompile, or attempt to discover source code (except where prohibited by law);
  • circumvent security controls or access restricted areas without authorisation.

Feedback. If you submit suggestions or feedback, you grant ARTE Partners LLC a perpetual, worldwide, royalty-free licence to use it without restriction.

12. Acceptable Use

You must not use the Platform to:

  • violate any law or regulation;
  • engage in fraud, deception, market abuse, or unlawful activity;
  • transmit malicious code or interfere with the Platform's operation or security;
  • infringe third-party rights, including IP and privacy rights; or
  • impersonate another person or misrepresent your affiliation.

13. Suspension and Termination

We may suspend or terminate your access to the Platform or Services at any time, with or without notice, if we reasonably believe:

  • you breached these Terms;
  • your account poses a security, compliance, legal, sanctions, or reputational risk; or
  • we are required to do so by law, regulation, or a competent authority.

Termination does not affect rights or obligations that by their nature should survive, including Sections 11, 14, 15, 17, and 18.

14. Disclaimer of Warranties

To the maximum extent permitted by applicable law, the Platform, Services, and Content are provided on an "AS IS" and "AS AVAILABLE" basis.

ARTE Partners LLC disclaims all warranties of any kind, whether express, implied, statutory, or otherwise, including implied warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, availability, and uninterrupted operation.

15. Limitation of Liability

To the maximum extent permitted by applicable law:

a) No Investment or Market Liability

ARTE Partners LLC shall not be liable for any losses arising from:

  • investment decisions;
  • market movements or volatility;
  • product performance; or
  • acts or omissions of any ARTE group entity or third-party provider.

b) No Indirect or Consequential Damages

ARTE Partners LLC shall not be liable for any indirect, incidental, consequential, special, exemplary, or punitive damages, including loss of profits, revenue, data, business, opportunity, or goodwill.

c) Technology / Availability

ARTE Partners LLC shall not be liable for any unavailability, interruption, delay, error, or security incident affecting the Platform or Services, including where caused by third parties or events beyond our reasonable control.

d) Maximum Liability Cap

ARTE Partners LLC's total aggregate liability, whether in contract, tort (including negligence), or otherwise, shall not exceed the lower of:

  • the amount paid by you to ARTE Partners LLC (if any) in the twelve (12) months preceding the event giving rise to the claim; or
  • USD 100.

e) Third-Party and Group Entity Exclusion

ARTE Partners LLC shall not be liable for any acts, omissions, insolvency, default, or failure of any ARTE group entity or third-party provider.

Some jurisdictions do not allow the exclusion or limitation of certain liabilities; in such cases, liability shall be limited to the maximum extent permitted by law.

16. Indemnification

You agree to indemnify and hold harmless ARTE Partners LLC, its directors, officers, employees, and agents from any claims, losses, damages, liabilities, costs, and expenses (including reasonable legal fees) arising from your breach of these Terms, misuse of the Platform, or violation of any law or third-party rights.

17. Electronic Communications; Notices

You consent to receive communications from us electronically (e.g., via email, in-platform notifications, or postings on the Platform). Notices are deemed given when sent or posted, as applicable.

18. Force Majeure

ARTE Partners LLC shall not be liable for any failure or delay in performance due to events beyond its reasonable control, including natural disasters, war, terrorism, civil unrest, labour disputes, power or network failures, or governmental actions.

19. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws applicable to ARTE Partners LLC, without regard to conflict-of-laws principles.

Subject to mandatory local law protections, the courts of the competent jurisdiction of ARTE Partners LLC shall have exclusive jurisdiction.

19.1 Jurisdictional and Regulatory Notice

The Platform is intended for use by professional, institutional, and sophisticated users, where permitted by applicable law.

European Union (EU)

ARTE Partners LLC is not authorised or regulated as an investment firm under MiFID II, unless expressly stated otherwise in writing. Products and services accessible through the Platform may be provided by regulated ARTE group entities or third-party providers in accordance with applicable EU laws.

United Kingdom (UK)

ARTE Partners LLC is not authorised by the Financial Conduct Authority (FCA). Any regulated activities are carried out by authorised ARTE group entities or third parties, where applicable.

United States (US)

ARTE Partners LLC is not registered as an investment adviser, broker-dealer, or commodity trading advisor, unless expressly stated otherwise. Access to products or services is subject to applicable U.S. federal and state securities laws.

United Arab Emirates (UAE)

ARTE Partners LLC is not licensed by the Securities and Commodities Authority (SCA) or the Dubai Financial Services Authority (DFSA), unless expressly stated otherwise. Any regulated activities are conducted by appropriately licensed entities.

Rest of the World

Users accessing the Platform from other jurisdictions do so on their own initiative and are responsible for compliance with local laws and regulations.

Nothing in these Terms constitutes an offer, solicitation, or regulated activity in any jurisdiction where such activity would be unlawful.

20. Changes to These Terms

We may update these Terms from time to time. The updated Terms will be posted on the Platform with a revised "Last updated" date. Your continued use of the Platform after such posting constitutes acceptance of the updated Terms.

21. Entire Agreement; Assignment; No Waiver; Severability

Entire Agreement. These Terms constitute the entire agreement between you and ARTE Partners LLC regarding your use of the Platform and supersede any prior understandings.

Assignment. You may not assign these Terms without our prior written consent. We may assign these Terms to an affiliate or successor in interest.

No Waiver. Failure to enforce any provision is not a waiver.

Severability. If any provision is held invalid or unenforceable, the remaining provisions remain in full force and effect.

22. Language

These Terms are drafted in English. If translated, the English version shall prevail to the extent permitted by law.
